By accessing or using MemorieAI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
MemorieAI provides a voice-powered AI assistant that website owners can embed via a JavaScript snippet. The assistant helps end users navigate websites, complete tasks, and find information using natural language voice or text input.
We reserve the right to modify, suspend, or discontinue the Service at any time, with or without notice. We will make reasonable efforts to notify customers of material changes.
You agree not to use the Service to:
We reserve the right to suspend or terminate accounts that violate these terms without refund.
Free plan: No payment required. Usage is limited to 500 sessions per month. We may change free plan limits with 30 days' notice.
Paid plans: Billing is monthly or annual, in advance. All prices are in USD. Taxes may apply.
Overages: If you exceed your plan's session limit, the Service will pause until the next billing cycle unless you have enabled auto-overage billing. Overage charges are billed at the end of the month.
Cancellation: You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period — you retain access until then. No refunds are issued for unused time on monthly plans. Annual plans may be eligible for prorated refunds within the first 30 days.
Price changes: We will notify you at least 30 days before changing your plan price.
MemorieAI and its underlying technology, including the embed script, AI models, and platform, are owned by MemorieAI and protected by intellectual property laws.
You retain ownership of your custom prompts and site-specific configurations. By providing them to us, you grant us a limited license to use them solely to provide the Service to you.
The "Powered by MemorieAI" attribution in the embed panel may not be removed on the Free or Pro plans. Enterprise plans may negotiate white-label terms.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or that AI responses will be accurate, complete, or appropriate for any particular purpose. AI systems can make mistakes — you are responsible for verifying critical information.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEMORIEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 — WHICHEVER IS GREATER.
Either party may terminate these Terms at any time. We may suspend or terminate your account immediately if you violate these Terms or if we believe your use poses a risk to other users or the platform.
Upon termination, your right to use the Service ceases immediately. Provisions that should survive termination (IP, disclaimers, limitations of liability) will do so.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Broward County, Florida.
